The individual selected for this role will enjoy the benefit of working for a well-established 97-year old Fortune 500 firm; but will also have the opportunity to be a key source of influence within the Firm by leveraging prior merger and acquisitions and general complex corporate skills experience to advise the Firm's key business stakeholders. The role will allow the successful candidate to be a thought leader within the Firm, and will afford the opportunity to work on a diverse set of complex legal issues concerning mergers and acquisitions, securities laws and governance of foundations and other 501(c)(3) organizations. This individual selected will be responsible for demonstrating strong initiative with measured results in the following areas: --- Review, assess and resolve legal issues and implement business strategy around mergers and acquisitions. --- Manage outside counsel in driving acquisitions and investments strategy. --- Create internal acquisition and investment processes, including due diligence, and draft legal documents. --- Develop and implement strategy, internal processes and governance documentation around foundation and charitable giving matters and governance. --- Manage outside counsel advising on 501(c)(3) matters. --- Formulate and execute effective strategies to reduce risk throughout the Firm by educating business partners about securities law, foundation law and other corporate law matters. --- Engage associates and leaders throughout the Firm to leverage their subject matter expertise in rendering advice. Ultimately, this self-starting individual will be responsible for legal advice on acquisition and investment matters, general corporate law matters, as well as foundation governance; and partnering with business leaders within the Firm to provide advice around emerging and ongoing initiatives, and in response to a frequently-changing regulatory environment. Education and Experience: --- J.D. from an ABA-accredited law school. --- License to practice law in Missouri, or a reciprocal state. --- At least six years of progressive responsibility as a corporate lawyer in private practice, the public sector, or in an in-house counsel capacity. Skills and Abilities: --- Advanced experience handling and managing complex acquisitions and investments is required. --- Experience representing foundations and 501(c)(3) organizations is strongly preferred. --- Experience within the financial services industry is preferred, but not required depending upon other relevant corporate law accomplishments. --- Familiarity with issues in the securities industry, including ones involving the SEC, FINRA, and state securities regulators will be particularly beneficial. --- Demonstrated ability to independently analyze and resolve complex matters is required. --- The ability to lead and mentor with a desire to work well with others to achieve common goals is required. --- The successful candidate must be highly organized, detail-oriented, resourceful, and adaptable to changing priorities. --- Sound judgment, decision making, and conflict resolution skills are required. --- The successful candidate must have the ability to be proactive and drive matters to conclusion. --- The successful candidate must have the ability to think independently and strategically; and to execute tactically. --- Excellent communication skills and decision-making ability are required. --- Strong cross-function collaboration skills and ability to build legal understanding with business partners in order to achieve workable solutions is required. --- Commitment to a high level of ethics, professionalism, and confidentiality is required. --- Travel up to 15% --------------------- Knowledge: --- It is crucial that the candidate have the ability to partner with business owners within the Firm to provide advice and build understanding around emerging and ongoing initiatives and in response to changing regulatory environments. --- The successful candidate must demonstrate initiative, leadership skills, independent thought and exceptional judgment, and have the ability to innovate and add value in a dynamic corporate and regulatory environment.
